IFERD Assembly
IFERD Assembly is the General Body of the International Federation for Education Research & Development, It serves as the supreme authority of the International Federation for Education Research & Development (IFERD). It exercises all powers and functions of the General Body in accordance with the provisions of the Indian Companies Act 2013 and the Articles of Association (AOA) of the Federation. Assembly shall consist of not more than two hundreds (200) Members of IFERD. Only Ordinary Members shall be eligible to be admitted to the Assembly and shall possess the right to vote on resolutions and decisions of the Assembly. Affiliate Members and other categories of members may attend meetings of the Assembly as observers or invitees, but they shall not possess voting rights. The Assembly shall be constituted for a term of two (2) years. Upon completion of its term, the Assembly shall stand dissolved and shall be reconstituted in accordance with the prescribed procedures.
After each term, new members may be admitted to the Assembly. In the event that an adequate number of new eligible members are not available, existing members may be re-admitted to the Assembly for the subsequent term. Members of the Assembly shall be selected primarily on the basis of their seniority and standing as members of IFERD, along with their commitment to the objectives and activities of the Federation. The Assembly shall elect its Chairman from among its members, who shall preside over the meetings of the Assembly and guide its proceedings. The Assembly shall adopt and regulate its own rules of procedure for the conduct of its meetings and decision-making processes. The IFERD Secretariat shall facilitate the process of selection and constitution of the Assembly in accordance with the prescribed criteria. The Assembly shall serve as the supreme deliberative body of IFERD and shall provide overall guidance and direction for the advancement of the Federation’s vision, mission, and objectives.
It shall deliberate on matters relating to the strategic direction, policy framework, and long-term development of the Federation and provide guidance for its growth and institutional advancement. The Assembly shall review the major activities, initiatives, and programs undertaken by IFERD and provide recommendations for their effective implementation and expansion in the areas of education, research, entrepreneurship, and social development. The Assembly shall advise the Board of Directors, the IFERD Secretariat, and other authorities of the Federation on matters concerning institutional development and societal advancement. It shall approve the composition of the Board of Directors and appoint or remove members of the Board in accordance with the Articles of Association of the Federation. The Assembly shall also appoint the Director General and the Deputy Director General of IFERD.
In addition, the Assembly shall review and approve the annual budget and other major policy or operational decisions of the Federation. It shall approve amendments to the Memorandum of Association (MoA) and Articles of Association (AoA) in accordance with applicable legal provisions, receive and adopt the audited financial statements of the Federation, and appoint the statutory auditors of the Federation as per applicable laws. The Assembly shall further exercise such other powers and perform such functions as may be necessary for safeguarding the interests of the Federation and promoting its objectives in the interest of society at large.
Assembly shall meet at least once in every financial year, which shall constitute the Annual General Meeting (AGM) of the Federation.
Special meetings of the Assembly may be convened by the Board of Directors or IFERD Secretariat or upon a written request by not less than seventy-five percent (75%) of the total members of the Assembly in cases of urgent or important matters. A notice of the meeting along with the agenda shall be circulated to all members within a reasonable time prior to the meeting. The quorum for a meeting of the Assembly shall be one-third (1/3) of the total members or twenty-five (25) members, whichever is lower. Members participating through video conferencing or other audio-visual electronic means shall be deemed to be present and shall be counted for the purpose of quorum. If the required quorum is not present within thirty (30) minutes of the scheduled time of the meeting, the meeting may be adjourned.
At an adjourned meeting, the members present shall constitute the quorum. Decisions of the Assembly shall be taken by a majority vote of the members present and voting. Any decision taken without the presence of the required quorum shall be invalid and void. The minutes of all meetings of the Assembly shall be properly recorded and maintained as part of the official records of the Federation. Major resolutions and decisions of the Assembly may be communicated to members and made publicly available.
